How project cancellations are handled for DartCodes software and web development services.

Introduction
This Cancellation Policy explains how clients and DartCodes may cancel an active service engagement, what notice is required, and how fees and deliverables are handled upon cancellation.
Cancellation terms may also be defined in your proposal, statement of work, or signed contract. Where a signed agreement conflicts with this policy, the signed agreement will prevail.
Client-Initiated Cancellation
Clients may request cancellation of a project or service by providing written notice to [email protected].
Cancellation requests should include the project name, contract or invoice reference, effective cancellation date, and reason for cancellation.
Notice Period
Unless otherwise stated in your agreement, clients should provide at least 7 calendar days' written notice before cancellation takes effect for active development work.
Fees on Cancellation
Upon cancellation, the client remains responsible for payment of all work completed up to the cancellation date, including approved milestones, allocated team time, and third-party expenses already incurred.
DartCodes-Initiated Cancellation
DartCodes may cancel or suspend services if:
If DartCodes initiates cancellation without client fault, we will provide reasonable notice and deliver any prepaid but undelivered work or issue a fair refund for unused prepaid amounts, as applicable.
- The client fails to make agreed payments after reasonable notice
- The client breaches these Terms or the project agreement
- The client engages in abusive, unlawful, or fraudulent conduct
- Continuing the project becomes impractical due to circumstances beyond our reasonable control
Work Completed and Deliverables
Any work completed, approved, or delivered before cancellation remains billable.
Deliverables completed and paid for will be transferred according to the intellectual property terms in your agreement. Unpaid deliverables may remain with DartCodes until outstanding balances are settled.
Refunds Upon Cancellation
Refund eligibility upon cancellation is determined under our Refund Policy and the specific terms of your agreement.
Deposits and milestone payments for completed or in-progress work are generally non-refundable. Any eligible refund for unused prepaid amounts will be processed after deducting completed work and approved costs.
Intellectual Property on Cancellation
Unless otherwise agreed, ownership of custom deliverables transfers only after full payment of all amounts due at the time of cancellation.
DartCodes retains rights to its pre-existing tools, frameworks, internal processes, and general know-how used during the project.
Recurring or Maintenance Services
For ongoing maintenance, support retainers, or subscription-based services, cancellation will take effect at the end of the current billing cycle unless otherwise stated in writing.
Clients should provide notice before the next renewal date to avoid additional billing. // TODO: Confirm specific notice period for recurring services if different from standard terms.
Force Majeure
Neither party shall be liable for delays or failure to perform due to events beyond reasonable control, including natural disasters, government actions, internet outages, war, civil unrest, or other force majeure events.
If such an event materially prevents performance for an extended period, either party may renegotiate or cancel the engagement by mutual agreement.
